2. Description of Services
Sherlock provides a cloud-based software platform designed to help organizations improve trust, integrity, and reliability in remote interviews and online evaluations. The Services analyze interaction and behavioral signals to identify anomalies and generate insights that support hiring and assessment decisions.
Sherlock is a decision-support tool and does not make final employment, hiring, or eligibility decisions.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Account Registration
To access certain features, you may be required to create an account. You agree to:
Provide accurate and complete information
Keep your credentials secure
Promptly notify us of any unauthorized use
You are responsible for all activity that occurs under your account.
5. Acceptable Use
You agree not to:
Use the Services for unlawful, discriminatory, or unethical purposes
Attempt to reverse engineer, copy, or exploit the platform
Interfere with the security, availability, or performance of the Services
Use the Services to violate applicable employment, privacy, or labor laws
Sherlock may suspend or terminate access for violations of this section.
6. Customer Data and Privacy
You retain ownership of all data you submit to the Services (“Customer Data”).
Sherlock processes Customer Data solely to provide and improve the Services, in accordance with applicable data protection laws and our Privacy Policy.
You are responsible for ensuring you have all required rights, consents, and legal bases to submit Customer Data to Sherlock.
7. Intellectual Property
All intellectual property rights in the Services, including software, algorithms, models, designs, and documentation, are owned by or licensed to Sherlock.
These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during the applicable subscription term.
No rights are granted except as expressly stated.
8. Fees and Payment
Certain Services may require payment. Fees, billing cycles, and payment terms will be specified at the time of purchase or in a separate order form.
Payments are non-refundable unless expressly stated otherwise or required by law.
9. Disclaimers
The Services are provided on an “as is” and “as available” basis.
Sherlock does not guarantee that:
The Services will be error-free or uninterrupted
Outputs will meet specific legal, regulatory, or hiring standards
Use of the Services will result in any particular outcome
You are solely responsible for decisions made using the Services.
10. Limitation of Liability
To the maximum extent permitted by law, Sherlock shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Sherlock’s total liability under these Terms shall not exceed the amount paid by you to Sherlock in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Sherlock from any claims, damages, losses, or expenses arising from:

Your violation of these Terms
Your violation of applicable laws or third-party rights
12. Termination
You may stop using the Services at any time.
Sherlock may suspend or terminate access if you breach these Terms or if required by law.
Upon termination, your right to use the Services will cease.
13. Modifications
We may update these Terms from time to time. Material changes will be communicated through the Services or website.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.
